Prof. Lucien Bebchuk of the Harvard Law School has co-authored a paper with Prof. Assaf Hamdani, arguing that current models of analyzing corporate governance structures do not recognise the fact that outside of the US and the UK, most public companies are dominated by a “controlling shareholder”. The authors put forward a new model for analyzing the efficacy of governance structures, keeping in mind these divergences in ownership structures.
